Corporate Governance Masterclass

Corporate Governance is an increasingly hot topic in company law. In this session Steph will explain what corporate governance is, look at the key sources of it and take you through the contents of the UK Corporate Governance Code and how its principles and provisions work in practice.
The masterclass will be of interest to anybody considering a career as a lawyer in a commercial practice, a large company, or a regulator, whether based in the UK or elsewhere.

Visiting Professor in Practice

Steph Maguire is a Visiting Professor in Practice at LSE Law School. Steph was a corporate lawyer for over 23 years at leading international law firms. She has extensive experience and technical expertise in listed company regulation, corporate governance and company law. During her career Steph focused primarily on corporate advisory matters and, as Technical Head of Listed Companies at Freshfields, advised the firm’s FTSE 100 and FTSE 250 clients on disclosure obligations, the continuing obligations regime, company law and corporate governance. Most recently she was involved with the changes to the law on shareholder meetings arising from Covid-19.
Steph was also a long-standing adviser to the GC100 (the Association for the General Counsel and Company Secretaries of Companies of FTSE 100 companies) and written articles on a wide range of corporate topics as well as contributing to numerous publications. She has participated in a range of industry working groups including the All Party Parliamentary Corporate Governance Group and the City of London Law Society and Law Society Company Law Committees’ Joint Working Parties on Market Abuse, Share Plans and the Takeovers Code.
